The Appointment of Members as Directors

Whereas The By-laws of the Jewish Agency [Section VIII, clause F3(a)] enable the appointment of members and associate members of the Executive of the Jewish Agency to be appointed as directors of Jewish Agency companies, if approved by the Board of Governors, upon the written request of the Chairman of the Assets and Liabilities Committee, and with the approval of the Deputy Chairman of the Executive and the Chairman of the Executive, provided that the Board of Governors is satisfied that special circumstances exist; and

Whereas The Chairman of the Assets and Liabilities Committee, having received the approval of the Chairman of the Jewish Agency Executive and the Deputy Chairman of the Jewish Agency Executive, hereby requests the Board of Governors to approve/ratify the following appointments:
      *   Dr. David Breakstone - member of the Board of Directors, Nativ1; and
      * Ms. Amira Ahronoviz - an ex-officio member of the Board of Directors, Spirit of
           Israel2; member of the Board of Directors of Daroma Zafona Idan He'Atid; and
      *  Mr. Josh Schwarcz  - member of the Board of Directors, the Spirit of Israel; member of
          the Board of Directors, Israel Museum (extension);

Whereas the above have knowledge and experience in the areas of the companies' activity, the Board of Governors is satisfied that special circumstances exist for their appointment as directors of that company.

Therefore be it resolved to allow the above appointments.

1   Regarding this appointment, the Deputy Chairman of the Executive was not involved in the appointment process.
2   According to the articles of association of the Spirit of Israel, the CEO of the Jewish Agency serves as an ex-officio member of the company's Board of Directors.
