Updating the Governance Structure and Adjusting the By-Laws of the Jewish Agency to the Updated Structure

Whereas The Jewish Agency has launched a strategic change process within the organization, whose purpose was to examine the vision and the mission of the Jewish Agency; and

Whereas as part of the strategic process a Governance Committee was established with the mandate of examining the structure and functioning of the Board of Governors, its committees and the Executive with the goal of making recommendations to the Board on ways of improving the governance of the Jewish Agency; and

Whereas the Governance Committee has discussed and approved a new proposed governance structure of the Board of Governors and its committees;

Whereas the proposed structure of the committees of the Board of Governors, requires several adjustments in the Jewish Agency's By-Laws; and

Whereas the Jewish Agency's By-Laws determines that a notification of a proposed amendment shall be sent to the  members of the Board 30 days in advance, and must be passed by a two-thirds majority; and

Whereas the Governance Committee approved the proposed Governance structure, as detailed in appendix A of this proposed resolution and as a derivative of it, the Committee approved the wording of the amendments to be made, accordingly, in the Jewish Agency's by-laws, as marked in appendix B of this proposed resolution;

Therefore be it resolved:
1. The Board of Governors, after discussing the structure, approves the Governance Structure of the Board of Governors Committees of the Jewish Agency as presented in appendix A of this resolution. 

2. 30 days following this resolution, counting of the vote will be carried out in the framework of the process of the Written Resolution (according to article D5(a)ii of the Agreement for the Reconstitution of the Jewish Agency). Upon receipt of the required majority, the amendments to the Jewish Agency By-Laws, marked in appendix B of this resolution will be approved.
