Amendment to the By-Laws re Appointment of Senior Staff Members

>Whereas >the interim provision in article VA3 regarding the appointment of Deputy Directors-General of the Jewish Agency is no longer valid; and

Whereas it is necessary to set the appointment process of some of the senior staff members;

Therefore, it is hereby resolved

To amend article Va of the By-Laws as follows (The changes compared to the existing text are marked):

V.         SENIOR STAFF MEMBERS

a. Selection

1. The principle underlying the appointment of senior staff is to ensure excellence in carrying out the responsibilities involved.

2. The senior staff members are the Director-General of JAFI, the Secretary-General of JAFI, the CFO, the Legal Advisor and the Deputy Directors-General of JAFI.

3. The Director General of JAFI and the Secretary General of JAFI shall be appointed by the Board of Governors upon recommendation of the Executive following a formal search process based on a written job description.

     The CFO and the Legal Advisor of the Jewish Agency shall be appointed by the Executive following a formal search process based on a written job description.

The Deputy Directors-General of JAFI shall be appointed by the Executive upon a joint recommendation of the Chairperson of the Board, the Chairperson of the Executive, the Deputy Chairperson of the Executive, the Chairperson of the Budget & Finance Committee and the Director-General (interim provision through June 2011). The names of the candidates shall be submitted to the Executive by the Chairman of the Executive, upon the recommendation of the Director General.

4. A Search Committee for the Director General and the Secretary General shall consist of equal membership by WZO and UIA/KH and will include the Chairperson of the Executive, the Deputy Chairperson of the Executive, the Chairperson of the Board of Governors and the Chairperson of the Budget and Finance Committee. The Director-General of JAFI will be consulted during the course of the search process.

     A Search Committee for the CFO and the Legal Advisor shall consist of equal membership by WZO and UIA/KH and will include the Chairperson of the Executive, the Deputy Chairperson of the Executive, the Chairperson of the Board of Governors and the Chairperson of the Budget and Finance Committee. The Director-General of JAFI will coordinate the work of the Search Committee for the CFO and the Legal Advisor.

5. The search process for senior staff members will ensure that the candidacy of qualified women seeking such positions will be encouraged and that they will be given equal opportunity for selection.
