4. Amendment to the By-Laws - Executive Action without a Meeting

The By Laws of the Jewish Agency for Israel shall be amended as follows:

After Article III B.4 the following shall be inserted:

"5. Any action taken by the Executive may be taken without a meeting if at least two thirds of its members consent in writing to the adoption of a resolution authorizing the action.  All members of the Executive shall be given notice of the proposed resolution."

Explanatory Notes

Article III of the By Laws of the Jewish Agency determines, inter alia, procedures regarding meetings of the Executive.  Currently, the By Laws only provide for actions of the Executive to be decided upon in meetings held in person, including by concurrent voice communication.
The By Laws do not address the issue of action being taken by the Executive on the basis of a written vote outside the framework of a meeting.  The proposed amendment would enable action to be taken.
