Whereas:

1. The By-laws of JAFI [Section VIII, clause F3(a)] do not allow, inter alia, members and associate members of the Executive of JAFI, members of the Board of Governors of JAFI, members of the Executive of WZO and members of the Knesset, whether or not they receive remuneration from JAFI or from WZO, to be appointed as directors of Jewish Agency companies. However, upon the written request of the Chairperson of the Assets and Liabilities Committee with the approval of the Deputy Chairperson of the Executive and the Chairperson of the Executive, the Board of Governors may allow an exception to this sub-section, provided that it is satisfied that special circumstances exist.

2.  The Chairman of the Assets and Liabilities Committee, having received the approval of the Deputy Chairperson of the Executive and the Chairman of the Executive, hereby requests the Board of Governors to allow the appointment of
Mr Lior Schillat to the board of directors of the National Company for Education, Development and Absorption.

Mr Schillat is a member of the Board of Governors of the Jewish Agency.

The candidate will contribute from his skills and experience to the company.

3. The Board of Governors is satisfied that special circumstances exist for this
appointment.

Therefore be it resolved to allow the above appointment.

All other rules regarding the appointment of directors will apply.
