1. The By-laws of the Jewish Agency [Section VIII, clause F3(a)] do not allow to appoint, inter alia, members and associate members of the Executive of JAFI and members of the Board of Governors of JAFI as directors of Jewish Agency companies, unless the Board of Governors, upon the written request of the Chairman of the  Assets and Liabilities Committee, with the approval of the reasurer and Chairman  of the Executive, allows such appointment as an exception, provided that it be satisfied that special circumstances exist.

2. The Chairman of the Assets & Liabilities Committee, having received the approval of the Treasurer and the Chairman of the Executive, hereby requests the Board of Governors to allow the appointment of the following people as directors to the following Jewish Agency Companies:

·The Jewish People Policy Planning Institute  (founded by the Jewish Agency for Israel) Ltd.

Mr. Yaacov Ne'eman, Member of the Board of Governors
Mr. Sami Friedrich, Member of the Board of Governors
Mr. Steve Hoffman, Associate Member of the Jewish Agency Executive
Mr. Giora Romm, the Director General of JAFI, Associate Member of the Jewish Agemcy Executive

·The Israel Experience - Educational Tourism Services Ltd.
Mr. Eitan Haber, Member of the Board of Governors

·Beth Hatefutsoth
Mr. Shai Hermesh, the Treasurer, Member of the Jewish Agency Executive

·El Al Airlines
Mr. Giora Romm, the Director General of JAFI, Associate Member of the Jewish Agemcy Executive

3. As each of the persons mentioned above has special knowledge and experience in the area of activity of the company in which he is proposed  to serve as director, the Board of Governors is satisfied that special circumstances exist for allowing his appointment.

Therefore be it resolved:

To allow the appointment of each of the persons referred to in paragraph 2  of the preamble to this resolution as a director of the respective company  indicated beside his name.

All other rules regarding the appointment of directors will apply.
